Trial Terms, Non-Disclosure and Privacy Agreement:

In this Undertaking:

"You" and "Your" means you the prospective or current customer who registers with us. "We" "Us" and "Our" means d2b International ApS. You acknowledge that (1) you are authorized to enter this agreement for and on behalf of your company, in which case the terms "you" or "your" shall refer to such entity, and are doing so, and (2) you have read and understand and agree that you and the company shall be bound by these terms and conditions and all modifications and additions provided for. if you do not have such authority, or if you do not agree with these terms and conditions, you must stop the registration process and may not use the service.

d2b International reserves the right to alter this agreement at any time, for any reason by updating this posting. 

TERMS
Your trial license is effective fourteen (14) days commencing on the date we provide you with the license key for your trial version of DataTrim Dupe Alerts unless terminated earlier (the Evaluation Period). The license will terminate automatically upon completion of the Evaluation Period . At the end of the Evaluation Period or upon request of d2b International, whichever is earlier, you will promptly remove all coding and other vestiges of DataTrim Dupe Alerts from your computer system, and make no further use whatsoever of DataTrim Dupe Alerts, except to the extent that may be permitted under any subsequent agreements between you and d2b International. Upon completion of the Evaluation Period you agree to provide d2b International with information regarding the results of the trial.

ANY USE DURING THE EVALUATION PERIOD, WHETHER IN A TEST ENVIRONMENT OR OTHERWISE, WILL BE AT YOUR SOLE RISK.

You agree to provide true, accurate, current and complete contact information as prompted by the registration form. If d2b International has reasonable grounds to suspect that the contact information you have provided is false or fraudulent, d2b International has the right to suspend or terminate your access to and use of DataTrim Dupe Alerts.

NON DISCLOSURE AGREEMENT:
"Confidential Information" means any information in any form (oral, written, graphic, electronic, etc.) relating to You, your current or future products and services, suppliers, customers, employees, parent companies and subsidiaries.

In consideration of You disclosing or agreeing to disclose to Us Confidential Information, We undertake that We:

1. Shall treat the Confidential Information disclosed by whatever means as being strictly private and confidential;

2. Shall take all reasonable measures to maintain its status as such;

3. Shall use the Confidential Information solely in connection with its mission (the "Permitted Purpose") with a view to our provided services (the "Proposed Transaction"), and not for any other purpose (including but without limitation to procuring any commercial advantage);

4. Shall maintain the confidentiality of Your Confidential Information in the same manner that We protect the confidentiality of our own proprietary and confidential information;

5. Shall not at any time disclose or allow access by any person or third party any of the Confidential Information without Your prior written consent;

6. Shall treat all Confidential Information obtained from You as confidential for an indefinite period. We shall not make Confidential Information available to unauthorized third parties. That our employees or contractors, who gain access to any Confidential Information, must be informed about Your copyright protection and about their duty to confidentiality;

7. Shall not be obligated to treat information or Innovations as Confidential Information if such information:
A. is or becomes public knowledge other than through the fault of Us; or
B. is independently developed by Us without use of the Confidential Information disclosed hereunder.

8. This Agreement contains the entire understanding of the parties as to the subject matter hereof, and supersedes all prior or contemporaneous, agreements and understandings between the parties with respect to the subject matter of this Agreement. All amendments to this Agreement must be in writing and signed by the parties hereto. No license to the Confidential Information is hereby granted to Us.

9. No Conflict. We represent and warrant to You that the performance of Our obligations hereunder does not and shall not conflict with any other agreement or obligation to which We are a party or by which We are bound.

10. Governing Law. This agreement shall be construed and enforced under, and governed by, the laws of Denmark.

11. Our confidentiality obligations hereunder shall survive any sale of Our Company or merger with a third party or termination of the cooperation. 

ONLINE PRIVACY POLICY:
1. We are committed to respecting your online privacy and with this policy we bring your attention to the use and protection of personal data stored on our systems.

2. Most information on our website can be accessed without providing personal data, however, when requesting further information we ask you to provide us with personal information, including, but not limited to, your name, company, address, telephone, fax and email address.

3. Your personal information may also be used to inform you about product updates, services or news and events. You may at any time unsubscribe from our mailing list by sending an email to: unsubscribe@datatrim.com] and we will do our best to ensure that you are removed as soon as possible.

4. Only if required to do so by law, we may disclose your personal information but otherwise your personal information will not be shared with third parties without your permission.

5. Email is our preferred means of communication, and we collect email addresses for 2 purposes:
•	To notify our customers of developments within the DataTrim service
•	To administer your account i.e. using it to send status reports.

6. We will take reasonable and appropriate steps to protect your personal information that you share with us from unauthorized access or disclosure.

Your Consent
By accepting this agreement you consent to the terms of our Online Privacy Policy and to our processing of personal information for the purposes given above as well as those explained where we collect personal information.

This Agreement will be effective as of the date of your registration.

For any purpose of notice to Us required or authorized under this Agreement, the following address may be used.
